Terms & Conditions
Effective date: 1 January 2026 (service, payment and refund terms) · Website-use terms effective 23 October 2026 · Last updated: 23 October 2026
These Terms and Conditions ("Terms") govern your use of talknlock.com (the "Website"), operated by Talknlock Pvt. Ltd. ("Talknlock", "we", "us"), CIN: U73100RJ2019PTC066555, GSTIN: 08AAHCT5483A1ZB, registered office at Bhamashah Techno Hub, 6th Floor, Sansthan Path, Jhalana Gram, Malviya Nagar, Jaipur, Rajasthan 302017. By using the Website you agree to these Terms. If you do not agree, please do not use the Website.
1. Use of the Website
- You may browse and use the Website for lawful, personal or internal business purposes.
- You must not misuse the Website, including by attempting unauthorised access, introducing malware, scraping content in bulk, submitting false or spam enquiries, or interfering with its operation.
- Information you send through the enquiry form must be accurate and yours to share.
2. Information only, no offer
Content on the Website, including service descriptions, process, blog posts and case studies, is for general information. It is not an offer, and does not create a client relationship. Any figures or examples describe past work and are not a guarantee of future results.
3. Our services
All services (including branding, social media, production, website development and performance marketing) are provided only under a separate written proposal, quotation, statement of work or agreement signed or accepted by both parties. That document, not these Terms, governs scope, fees, timelines, deliverables, ownership and payment. If there is a conflict, the signed agreement prevails.
3A. Payments, cancellation and refunds
Once work has commenced, fees paid are non-refundable.
Production starts at the earliest of: the kickoff call; the start of any brief, strategy or planning work; a shoot being scheduled or booked; or the start of any design or development work. Scheduling the kickoff call does not count as commencement of work.
The Refund & Cancellation Policy forms part of these Terms. In summary:
- No refund or cancellation once work has commenced. Work commences at the earliest of the kickoff call, brief or strategy work starting, a shoot being scheduled or booked, or design or development starting.
- 100% advance payment is required on all projects before work is scheduled, because resources are booked in advance and the major cost is in production. Work is scheduled only after full advance payment.
- Advance and retainer payments are non-refundable once work commences.
- Cancellation before commencement is by written notice only. No fee applies within 72 hours of payment or confirmation; after 72 hours, costs incurred and resources allocated (crew, studio, models, bookings, team time) are deducted and any balance is refunded within 5–7 business days.
- Third-party costs (crew, studio, models, ad spend, domains, plugins and similar) are non-refundable in all cases. Ad spend paid to platforms is non-refundable.
- Engagements that have been running for more than one month, including monthly retainers, can be ended only with at least 30 days' written notice in advance; the current billing cycle is payable in full, with no pro-rata refunds. Engagements running for one month or less follow the standard cancellation terms in Section 4 (Cancellation before work commences) and Section 1 (The core rule) of the Refund & Cancellation Policy, summarised above: no fee within 72 hours and before work commences, costs incurred are deducted after 72 hours, and once work has commenced, fees paid are non-refundable.
- Revisions are limited to the agreed rounds; extra rounds are billed.
- Client delays do not extend refund rights. If we receive no feedback within 4 working days of sharing a deliverable, it is treated as approved so the schedule stays on track.
- Deliverables and IP transfer only after full payment. Unpaid amounts allow Talknlock to pause work.
- No specific results (followers, sales, rankings or otherwise) are guaranteed.
- Chargebacks and disputes are resolved as set out in section 11 (arbitration seated in Jaipur).
4. Intellectual property
Final client deliverables become the client's property only after full payment, and Talknlock may showcase completed work unless otherwise agreed in writing. Unless stated otherwise, the Website's design, text, graphics, code, logos and the "Talknlock" name are owned by or licensed to Talknlock Pvt. Ltd. and protected by Indian and international intellectual property laws. You may not copy, reproduce, modify or reuse them without our prior written permission, except for viewing and sharing links in the normal way.
5. Portfolio and client trademarks
Our portfolio shows work created by Talknlock for its clients, and concept projects created by Talknlock. Client names, logos, trademarks, products and brand assets shown belong to their respective owners and are displayed only to describe our work, with permission where required. Their appearance does not imply any endorsement beyond our working relationship, and no licence to use them is granted to you. 6. Third-party links
The Website links to third-party sites, such as client websites, Instagram, WhatsApp and Google Maps. We do not control them and are not responsible for their content, availability or privacy practices.
7. Disclaimer
The Website is provided "as is" and "as available". To the extent permitted by law, we make no warranties that it will be uninterrupted, error-free or free of harmful components, or that its content is complete or current.
8. Limitation of liability
To the fullest extent permitted by law, Talknlock and its directors, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, data or goodwill, arising from your use of, or inability to use, the Website. Our total liability for any claim relating to the Website will not exceed the total fees paid by you to Talknlock for the specific project to which the claim relates. Nothing in these Terms limits liability that cannot be limited under Indian law. Liability for services is governed by the relevant service agreement.
9. Indemnity
You agree to indemnify Talknlock against claims, losses and costs arising from your breach of these Terms or misuse of the Website.
Clients agree to indemnify Talknlock against claims, losses and costs arising from any content, material, trademark, logo, image, music, data or information the client supplies or asks us to use, including claims that it infringes the rights of a third party or breaks any law. The client confirms it holds the rights needed for Talknlock to use such material for the project.
9A. Confidentiality
Each party will keep confidential any non-public business, technical or financial information it receives from the other in connection with an enquiry or project, and will use it only for that purpose. This does not apply to information that is already public, independently developed, lawfully received from someone else, or required to be disclosed by law. Talknlock may still showcase completed work as described in sections 4 and 5, unless otherwise agreed in writing.
9B. Third-party, stock and music licences
Some deliverables may include third-party material, such as stock photos, footage, fonts, templates, plugins, software or music. Such material remains the property of its owners and is licensed, not sold, under the terms of the relevant licence. Unless the proposal says otherwise, the client is responsible for the cost of these licences and for using the material only within their terms (including platform, territory, duration and usage limits). Music and audio used in social media content may be limited to the libraries provided by the platform and may not be cleared for paid ads or other uses.
9C. Force majeure
Talknlock is not liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, extreme weather, epidemics, government action, strikes, power or internet outages, platform outages or policy changes, and failures of third-party service providers. Timelines will be extended by a reasonable period for the duration of such an event.
10. Privacy
Your use of the Website is also governed by our Privacy Policy.
11. Governing law and dispute resolution
These Terms are governed by the laws of India. Subject to any dispute-resolution clause in a separate agreement, any dispute arising from these Terms, the Website or our services will first be raised in writing and discussed in good faith. If it is not resolved within 30 days, it will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Jaipur, Rajasthan, and the proceedings will be in English. Subject to this, the courts at Jaipur, Rajasthan, India will have exclusive jurisdiction, including for interim or urgent relief.
12. Changes
We may update these Terms at any time by posting a revised version here. Continued use of the Website after changes means you accept them.
